Paintitai LTD Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Paintit.ai web application hosted at the domain app.paintit.ai, and any related products or services provided by Paintitai LTD ("we," "us," or "Paintitai"). By registering for or using the Service, you agree to these Terms and our Privacy Policy.

1.1. By registering for an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2. If you do not agree with any provision of these Terms, you must immediately cease all use of the Service.

2.1. You must have full legal capacity to enter into binding contracts to use the Service.

2.2. The Service is available only to individuals:

• Eighteen (18) years of age or older;
• Aged thirteen (13) to seventeen (17) only with the consent and under the supervision of a parent or legal guardian.

2.3. Registration by anyone under the age of thirteen (13) is strictly prohibited.

3.1. Certain features of the Service require you to register for an account.

3.2. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.3. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.1. Paintitai provides AI-powered image generation and processing services via a web interface and API.

4.2. Services include, but are not limited to:

• Text-to-image generation;
• Redesign, repaint, swap-item operations, and other modifications of user-supplied images;
• Integration with third-party APIs.

4.3. We do not guarantee uninterrupted operation of any third-party services and are not liable for their downtime or errors.

5.1. "Input" means any text, images, or other materials you submit to the Service.

5.2. "Output" means the results generated by the Service based on your Input.

5.3. You retain all rights to your Input and are solely responsible for its legality, reliability, and appropriateness.

5.4. License to Use Your Input

You grant Paintitai a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to use, reproduce, modify, adapt, translate, create derivative works from, distribute, and otherwise process your Input (including Content Data) for the following purposes:

• (a) to operate, maintain, and provide the Service to you and other users;
• (b) to monitor, detect, prevent, and respond to fraud, abuse, security incidents, and other harmful activity;
• (c) to test, improve, and develop our products, models, and features, including by training and fine-tuning internal AI models;
• (d) to generate aggregated and anonymized insights for analytics and business intelligence;
• (e) to measure, analyze, and improve the performance of our marketing and advertising, including creating audience segments and lookalike audiences, in accordance with our Privacy Policy.

We do not sell your Input as raw data to third parties. Any sharing of Input or Content Data with our service providers is subject to contractual restrictions and is limited to the purposes described in these Terms and our Privacy Policy.

5.5. All rights in and to the Output belong exclusively to Paintitai LTD, and we may use, reproduce, and publish the Output at our discretion.

5.6. Content Review

You understand and agree that we may, and you hereby authorize us to, access and review your Input and Output (including chat history and images) through automated systems and, where necessary, manual review by authorized personnel, for the purposes listed in Section 5.4 and to comply with applicable law.

5.7. No Sensitive or Confidential Information

The Service is not designed for and should not be used to process sensitive or highly confidential information (such as financial account numbers, health records, government-issued identifiers, or data about children). If you choose to submit such information, you do so at your own risk, and to the maximum extent permitted by law, we disclaim any liability arising from such use.

5.8. Use of Third-Party AI Providers

We may use third-party AI providers (including, without limitation, OpenAI, Google, Anthropic, and Perplexity AI) to process your Input and generate Output. Your use of the Service remains governed solely by these Terms, and not by any terms between you and such third-party providers. To the maximum extent permitted by law, we are not responsible for any acts or omissions of such third-party providers, provided that we have exercised reasonable care in selecting and configuring them.

6.1. Payment Processor

All payments are processed through Stripe or any other payment processor we may make available from time to time. By making a purchase, you agree to comply with the applicable terms and policies of the relevant payment processor.

6.2. Current Subscription Plans

Paintitai may offer paid subscription plans, including but not limited to Free, Starter, Pro, Max, Agency, or other plans made available on the pricing page, checkout page, or inside the Service from time to time.

The price, billing period, included credits, features, limitations, and promotional terms of each plan are displayed at the time of purchase and may vary depending on your location, currency, promotion, user status, or other factors.

6.3. Legacy Plans

Certain legacy subscription plans, including the previous Weekly and Monthly plans, may remain active for existing subscribers who purchased them before they were discontinued.

Legacy plans are no longer available for new subscriptions unless we expressly make them available again. If you are subscribed to a legacy plan, your subscription may continue to renew under its existing billing cycle until you cancel it, change plans, or until we modify, migrate, or discontinue the plan in accordance with these Terms.

We reserve the right to change, replace, migrate, suspend, or discontinue any legacy plan, including its price, billing cycle, features, and credit allocation, upon prior notice where required by applicable law.

6.4. Recurring Billing and Auto-Renewal

By purchasing a paid subscription plan, you acknowledge and agree that your subscription automatically renews at the end of each billing period unless and until you cancel it.

You authorize Paintitai and our payment processor to store your selected payment method and automatically charge the applicable subscription fees, plus any applicable taxes, at the beginning of each renewal term, without further action or additional consent from you, until you cancel your subscription.

6.5. Cancellation of Subscription

You may cancel your subscription at any time through your account settings, the billing portal, or any other cancellation method we make available from time to time.

Cancellation will take effect at the end of your then-current billing period, and you will continue to have access to the applicable paid features until that date, unless otherwise stated. You must cancel your subscription before the renewal date to avoid being charged for the next billing period.

Except as expressly set out in Section 9 (Refund Policy), subscription fees already paid are non-refundable, and we do not provide partial or pro-rated refunds for unused time, unused features, or unused credits.

6.6. Changes to Prices, Plans and Features

We may modify our subscription plans, prices, billing periods, credit allocations, plan names, features, limits, and promotional offers at any time.

Where required by applicable law, we will provide prior notice before material changes take effect for existing paid subscribers. If you do not agree with the updated price or plan terms, you must cancel your subscription before the change becomes effective. Your continued use of the Service after the effective date of the change constitutes your acceptance of the updated terms.

6.7. Promotions and Discounts

We may offer promotional discounts, introductory prices, free trials, coupons, or other special offers from time to time. Such offers may be limited by time, geography, user eligibility, plan type, or other conditions.

We may modify, suspend, or terminate any promotion at any time, unless otherwise expressly stated in the promotion terms. Promotional pricing may apply only for the stated promotional period, after which the subscription may renew at the then-current standard price for the applicable plan.

6.8. Taxes, Currency Conversion and Third-Party Fees

All prices are listed in the currency shown at checkout. If your payment method is denominated in another currency, the final amount charged may differ due to currency conversion rates and fees applied by your bank, card issuer, or payment provider.

You are responsible for any bank fees, foreign transaction fees, currency conversion fees, and any sales, value-added, goods and services, or similar taxes that may apply under the laws of your country or region, except where such taxes are explicitly included in the price.

6.9. Failed Payments

If we are unable to charge your payment method for any reason, including expiration, insufficient funds, or denial by the payment provider, you remain responsible for any unpaid amounts. We may suspend, downgrade, or restrict your access to the Service until full payment is received.

We may attempt to reprocess any failed transaction using the same payment method or any backup payment method you have provided, to the extent permitted by applicable law.

6.10. Responsibility for Your Payment Method

By providing a payment method, you represent and warrant that you are authorized to use that payment method and that you will keep your billing information accurate and up to date.

To the maximum extent permitted by law, you are responsible for all charges made through your account until you notify us and/or your payment provider of any unauthorized use.

7.1. Credits

The Service uses credits as an internal usage unit for accessing certain AI-powered features, including image generation and image modification.

Credits are not legal tender, currency, electronic money, stored value, or property. Credits have no cash value, are non-transferable, and may only be used within the Service in accordance with these Terms.

7.2. Subscription Credits

Paid subscription plans may include a specified number of credits. The number of credits included in each plan is displayed on the pricing page, checkout page, or inside the Service at the time of purchase.

Credit allocations may vary by plan and may be changed by Paintitai from time to time, including for existing plans, subject to applicable notice requirements where required by law.

7.3. Credit Cost of AI Operations

Unless otherwise stated in the Service, generating an image costs a minimum of three (3) credits.

Image modification operations, including but not limited to redesign, repaint, restyle, swap items, remove items, edit, upscale, or similar image-based actions, also cost a minimum of three (3) credits per operation.

The actual number of credits required for a specific operation may be higher depending on the selected model, image resolution, quality level, feature type, processing complexity, system load, or other technical and commercial factors.

The applicable credit cost will be displayed or otherwise made available in the Service where reasonably practicable. By submitting a generation or modification request, you authorize us to deduct the applicable number of credits from your account balance.

7.4. Free AI Chat

Text-based interaction with the AI chat may be available free of charge. However, any image generation, image modification, image processing, upscale, export, or other credit-based action requested through the chat or any other interface may require credits.

7.5. Top-Up Credits

We may allow users to purchase additional credits separately from a subscription plan ("Top-Up Credits"). Top-Up Credits are one-time purchases and do not create a recurring subscription unless expressly stated at checkout.

The price, quantity, availability, validity period, limitations, and permitted use of Top-Up Credits are displayed at the time of purchase and may change from time to time.

Top-Up Credits are generally non-refundable once purchased or used, except where required by applicable law or expressly stated in these Terms.

7.6. Credit Balance, Expiration and Adjustments

Your credit balance may include credits from subscriptions, Top-Up Credits, promotions, referrals, or other sources.

We may establish expiration periods, usage limitations, rollover rules, maximum balances, or other restrictions for credits. Any such rules may be displayed in the Service, on the pricing page, or at the time of purchase.

We reserve the right to deduct, expire, revoke, correct, or adjust credits if they were issued in error, obtained through fraud or abuse, associated with a refunded or charged-back payment, or otherwise used in violation of these Terms.

7.7. No Guarantee of Results

The use of credits does not guarantee that any AI-generated or AI-modified result will meet your expectations, be suitable for a particular purpose, or be free from errors, artifacts, inaccuracies, or unwanted visual changes.

Credits are charged for the processing of your request, not for a guaranteed subjective outcome.

8.1. We may operate a referral or invite-a-friend program that allows eligible users to receive bonus credits when a referred user signs up and purchases a qualifying paid subscription.

8.2. The number of bonus credits, eligibility criteria, qualifying plans, timing of credit issuance, and other referral conditions may vary and will be displayed in the Service or in the applicable referral program terms.

8.3. We may modify, suspend, or terminate the referral program at any time. We may withhold, revoke, or cancel referral credits in cases of suspected fraud, abuse, self-referrals, chargebacks, refunds, duplicate accounts, or violation of these Terms.

9.1. Subscription Refunds

Refunds for paid subscriptions may be available only within the applicable refund request period and subject to the credit usage condition below:

• Legacy Weekly subscriptions: within three (3) days of purchase or renewal;
• Monthly subscription plans, including current paid monthly plans and legacy Monthly subscriptions: within seven (7) days of purchase or renewal.

9.2. Credit Usage Condition

To be eligible for a subscription refund, you must not have used more than fifty percent (50%) of the credits included in the relevant subscription billing period.

If more than fifty percent (50%) of the included credits have been used, the subscription payment is non-refundable, except where required by applicable law.

9.3. Top-Up Credit Refunds

Top-Up Credits are one-time purchases and are generally non-refundable once purchased or used, except where required by applicable law or expressly stated at checkout.

If a refund is issued for a Top-Up Credit purchase, we may remove the corresponding credits from your account balance. If those credits have already been used, we may refuse the refund or deduct the equivalent value from any future credit balance or refund amount, to the extent permitted by law.

9.4. Refund Requests

Refund requests must be submitted through the support form, billing portal, or other support channel made available by Paintitai.

We may request additional information to verify your account, payment, credit usage, and eligibility for a refund.

9.5. Chargebacks and Abuse

If you initiate a chargeback or payment dispute, we may suspend or restrict your account while the dispute is investigated. We reserve the right to revoke credits, cancel subscriptions, or terminate accounts in cases of payment abuse, refund abuse, fraudulent activity, or repeated chargebacks.

9.6. Statutory Rights

Nothing in these Terms limits any mandatory consumer rights that cannot be excluded under the laws applicable to you.

10.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

10.2. PAINTITAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.3. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAINTITAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify and hold harmless Paintitai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms or your use of the Service.

We may revise these Terms from time to time. Material changes will be communicated to you at least thirty (30) days prior to their effective date via email and/or in-app notification. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

13.1. These Terms are governed by and construed in accordance with the laws of England and Wales.

13.2. Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration under the rules of the Stockholm Chamber of Commerce, with the seat of arbitration in London.

14.1. We may operate an affiliate or partner program (the “Affiliate Program”) that allows eligible third parties (“Affiliates”) to promote our Service and earn commissions on qualifying paid subscriptions.

14.2. Participation in the Affiliate Program is optional and subject to our separate Affiliate Program Terms (the “Affiliate Terms”), which are made available on our website and/or in the affiliate portal powered by our third-party provider Tolt, Inc. By applying to or participating in the Affiliate Program, you agree to be bound by the Affiliate Terms in addition to these Terms.

14.3. In the event of any conflict between these Terms and the Affiliate Terms with respect to the Affiliate Program, the Affiliate Terms shall prevail solely for matters related to the Affiliate Program.
