Paintitai LTD Affiliate Program Terms

These Affiliate Program Terms (the “Affiliate Terms””) govern your access to and use of the Paintit.ai web application hosted at the domain app.paintit.ai, and any related products or services provided by Paintitai LTD (“we,” “us,” or “Paintitai”). By registering for or using the Service, you agree to these Affiliate Terms and our Privacy Policy.

• 1.1. These Affiliate Program Terms (“Affiliate Terms”) govern your participation in the Paintit.ai affiliate program (“Affiliate Program”) operated by Paintitai LTD (“Paintitai”, “we”, “us”, or “our”).
• 1.2. By applying to or participating in the Affiliate Program, you agree to be bound by these Affiliate Terms, our main Terms of Service, and our Privacy Policy.
• 1.3. You participate in the Affiliate Program as an independent contractor. Nothing in these Affiliate Terms shall be construed as creating any employment, agency, joint venture, or franchise relationship between you and Paintitai.

• 2.1. We use a third-party platform, Tolt, Inc. (“Tolt”), to operate and track the Affiliate Program, including clicks, referrals, conversions, and commissions.
• 2.2. Referrals and commissions are tracked via cookies, unique affiliate links, and/or other tracking technologies provided by Tolt. You acknowledge that all tracking data and reports generated by Tolt and our internal systems form the primary basis for determining your eligible commissions.
• 2.3. To the maximum extent permitted by law, Paintitai is not liable for any tracking issues or failures resulting from: (a) ad blockers, browser settings, or cookie restrictions; (b) deletion of cookies by users; (c) the use of private/incognito modes; or (d) outages or errors on Tolt’s side or any other technical failures beyond our reasonable control.

• 3.1. Under the Affiliate Program, you may be eligible to receive a commission equal to twenty percent (20%) of the Net Subscription Fees actually received by us from qualified paying customers you refer (“Qualified Referrals”), for eligible paid subscription plans, as described on our Affiliate Program page and/or in your affiliate dashboard.
• 3.2. “Net Subscription Fees” means subscription fees actually paid to us by a Qualified Referral, excluding any taxes, payment processing fees, chargebacks, refunds, credits, discounts, and any other amounts we do not ultimately retain.
• 3.3. We reserve the right to change commission rates, commission structures, eligibility criteria, and payout schedules at any time, with notice to you through the affiliate portal and/or by email. Any such changes will apply prospectively to referrals and transactions occurring after the effective date of the change.
• 3.4. You are solely responsible for any taxes, fees, and charges imposed by any governmental authority on the commissions you receive.

• 4.1. A “Qualified Referral” is a new customer who:
  • (a) clicks on your valid affiliate link generated through Tolt;
  • (b) signs up for an eligible paid subscription plan directly through our website without using ad blockers or similar tools that prevent tracking;
  • (c) completes a valid, non-fraudulent payment that is not subject to chargeback, refund, or reversal;
  • (d) is not already our existing customer, lead, or trial user in our systems at the time of the click or sign-up.
• 4.2. The following shall not be considered Qualified Referrals:
  • (a) self-referrals (including sign-ups under your own or related company accounts);
  • (b) referrals from coupon/discount websites if we have not explicitly approved such promotion in writing;
  • (c) referrals generated through spam, misleading or deceptive practices, trademark bidding, or any violation of these Affiliate Terms, our brand guidelines, or applicable law.
• 4.3. We reserve the right, in our sole discretion, to determine whether any referral meets the criteria of a Qualified Referral and to void, deny, or reverse commissions in cases of suspected fraud, abuse, or violation of these Affiliate Terms.

• 5.1. Commissions will be calculated and become eligible for payout only after the applicable refund/chargeback period for a Qualified Referral has expired, as determined by our policies.
• 5.2. Payouts are processed through Tolt and/or the payout methods made available in your affiliate dashboard (e.g., Wise, PayPal, bank transfer, or other methods as may be supported from time to time). You must provide accurate and up-to-date payout information in order to receive payments.
• 5.3. We may establish a minimum payout threshold. If your commission balance does not reach the threshold, it will be rolled over to the next payout period.
• 5.4. We may withhold or delay payouts if: (a) we suspect fraudulent or abusive activity; (b) there are outstanding chargebacks or refunds related to your referrals; or (c) you are in breach of these Affiliate Terms or our Terms of Service.

• 6.1. You agree that you will NOT:
  • (a) use unsolicited commercial email (“spam”), SMS spam, or any other form of unsolicited communication to promote our Service;
  • (b) bid on our brand name, trademarks, or confusingly similar variations in search engine advertising (e.g., on Google Ads, Bing Ads), unless expressly authorized by us in writing;
  • (c) misrepresent yourself as Paintitai, impersonate our employees or claim to act on our behalf;
  • (d) make false, misleading, or unsubstantiated claims about our Service;
  • (e) use misleading redirects, cookie stuffing, or any other fraudulent or deceptive tracking techniques;
  • (f) infringe any third-party intellectual property or violate any applicable law, regulation, or advertising guideline.
• 6.2. We may immediately suspend or terminate your participation in the Affiliate Program and cancel any unpaid commissions if we reasonably determine that you have engaged in any prohibited activity.

• 7.1. We may suspend or terminate your participation in the Affiliate Program at any time, with or without cause, by providing notice via email and/or through the affiliate portal.
• 7.2. You may terminate your participation at any time by notifying us and/or closing your affiliate account in Tolt.
• 7.3. Upon termination, you will no longer earn commissions for new referrals, and we may deactivate your affiliate links. We may, in our sole discretion, pay out any eligible commission accrued prior to termination, subject to our fraud and abuse review.
• 7.4. To the maximum extent permitted by law, we shall not be liable to you for any indirect, incidental, special, or consequential damages, loss of profits or business opportunities arising out of or in connection with your participation in the Affiliate Program.
